Terms of use
These Terms of Use (“Terms of Use”) govern and regulate: a) the temporary, non-transferable, non-exclusive use and occupation of a designated part of the premises at the Co working space, on a room/seat basis (“Workspace”) by the Clients, and b) the Services provided by AltF Spaces Private Limited (“AltF”) to the Client at the Co-working space forming a part of the package, including but not limited to internet connection, photocopy/printing/scanning services, fit-outs, furniture, electricity, power back up and storage space (“Services”). These Services may be provided by AltF itself or through any independent third party.
AltF and the Client are, hereinafter, collectively referred to as the “Parties” and individually as a “Party”.
1. AltF
AltF is in the business of operating Co working spaces and providing office spaces, workspaces, conference room space to small and medium enterprises, startup companies, multi-national companies, independent workers, consultants etc. along with various allied services.
2. Client
- Any person executing and entering into an agreement or membership/sales form with AltF (“Agreement”) on behalf of any entity or themselves represents and warrants that it has all necessary right, authority and consent to enter into, bind such entity to the Agreement and these Terms of Use.
- The Workspace and Services shall be used strictly for lawful business, professional or corporate activities and for no other purpose.
- The Client, its employees, agents, permitted assignees and any authorized person who will be entering the Co-working space or using the Workspace and Services agrees to adhere to the KYC norms of AltF and will provide AltF with a valid Government ID, phone number and photograph and any other such similar documents and information as may be required by AltF.
3. Term
In consideration of the payments made by the Client, as maybe set out in the Agreement or otherwise and the Client agreeing to comply with their representations, covenants and conditions mentioned herein and, in the Agreement, if applicable, AltF will grant a temporary, non-transferable and non-exclusive access for use and occupation of the Workspace and provide Services to the Client commencing from the Start Date (“Effective Date”) for the duration of the Client’s membership. (“Term”). The Term shall be inclusive of a lock-in period during which the Client shall not be entitled to terminate the Agreement or cease availing the Services or withdraw from the arrangement for the Workspace (“Lock-in”).
4. Fee
- The Client shall pay a monthly fee in consideration of the Workspace and Services (“Fee”). The Fee shall be payable from the Effective date. At the time of the reservation of the Co working space, an advance towards the Fee shall be payable by the Client to AltF, which shall be equal to the security deposit unless otherwise agreed by the Parties.
- The Fee shall be escalated by 10% (Ten Percent) or on the basis of prevailing rental value in the market whichever is greater upon the completion of every 12-month period from the Effective Date.
- The Fee shall be paid on or before the 3rd day of every calendar month (“Due Date”), in advance for the month for which the Fee is due. In case of delay in payment of the Fee, an interest at the rate of 2% (two percent) per month shall be payable by the Client. The Fee shall not be adjusted from the Security Deposit during the Term.
- On receipt of any payment from the Client, AltF shall first apply such payment towards any balances which are in arrears and to the earliest month due interest. Once past balances are satisfied, any remaining portion of the payment will be applied to the subsequent Fee payable.
- In the event of termination by the Client during the Lock-in period as specified in the Agreement or otherwise, the Client shall be liable to pay the Fee plus applicable taxes for the remaining Lock-in period along with the notice period.
- If the client decides to reduce or downsize their membership seats plan during the Lock-in period, such action shall be a violation of the Lock-in and the client shall be liable to pay the Fee for the entire lock-in period in the same manner as if the downsizing/reduction has not occurred.
- Use of the Workspace and Services may be immediately suspended if the payment of the Fee for any month is not received by the Due Date. AltF reserves the right to terminate the access to the Workspace and the Services and recover the dues from the Client, if the Fee is in arrears for more than 10 (Ten) days from the Due Date.
- In the event, the Co working space or its any part is not usable or accessible for any reason which is beyond the control of AltF including but not limited to fire, toxic smokes, damage to the property due to any reason, pandemic, epidemic, lockdown, catastrophic event, terrorist attack, war, governmental order/action, flood, riots, utility failure, black-out or degradation, violence of mob or other irresistible force or accident or any other similar force majeure circumstances, the Client shall be liable to pay 50% (Fifty Percent) of the Fee from the date of occurrence of the event till the co-working space is restored and made accessible/operational. The Client understands that 50% of the Fee shall be payable as AltF has to incur various expenses, including but not limited to the security of the premises, electricity and water charges, recurring service charges like building maintenance, internet, housekeeping, on-ground management staff, etc which cannot be discontinued for any duration and are necessary for the maintenance of the property. Client unconditionally undertakes to abide by the above clause and covenants that the Client shall not make an application and/or institute any suits, actions, or proceedings in any court of law, tribunal or any other legal forum against the above charges/Fee. In case the Workspace space is not functional even after 60 days from the occurrence of such event, the Parties shall be at liberty to terminate the services as per the terms agreed upon and after following the termination procedure by giving written notice to the other Party.
5. Taxes
- Goods and Service Tax or any other tax/statutory levies as per the applicable laws on the Fee payable, if applicable, shall be the sole liability of the Client and shall be payable to AltF, in addition to, and along with the Fee.
- The Client shall be solely responsible for deducting and depositing Income Tax from the Fee with the appropriate authority within the stipulated time and shall be solely responsible to furnish the certificate of the same to AltF on quarterly basis or as and when requested by AltF. The Client unequivocally agrees to indemnify AltF for any loss/damage/ claims/inconvenience caused, and actions required to be taken on account of a default by the Client in this present obligation. In addition, and without prejudice to the above, if the Client fails to submit the TDS certificate and amount, the same may be deducted from the Security Deposit.
- The Client shall provide AltF with a copy of the Client’s GST registration certificate containing all such information as required under law.
- The Client acknowledges that the place of supply as per the laws applicable to GST in India shall be the place of supply as determined by the location of the co working space. AltF will issue invoices with CGST and SGST only considering the place of supply as the location of the Workspace space.
- The Client shall be solely responsible for performing all compliances and making payments of GST, cesses, interest, penalties or any other tax/duty/amount/charge/liability/dues arising either out of laws/regulations applicable in India and overseas or because of a demand/recovery initiated by any revenue authority under laws/regulations applicable in India or overseas.
6. Security Deposit
- The Client shall pay an amount as agreed between the Parties as interest-free refundable security deposit (“Security Deposit”) on or before the Effective Date. Without the payment of the Security Deposit the Client shall not have any rights in terms of the Agreement, and the Terms of Use, and no access to the Workspace space, however, non-payment of Security Deposit shall not waive the obligations of the Client.
- AltF does not adjust Fee/TDS balances/Interest/Pending dues or other payables in the Security Deposit during the Term. Security Deposit shall be retained by AltF during the Term and the said deposit shall be refunded to the client within 45 days after termination of the Agreement or otherwise in accordance with the ‘Terms of Use’ herein contained.
- If the Client terminates the Agreement, or exits the arrangement during the Lock-in period, the Security Deposit paid by the Client shall be adjusted against the unpaid dues for the remaining Lock-in period and the mandatory Notice Period, as defined hereunder. However, if the Security Deposit is not sufficient to cover the dues, the Client shall immediately pay for the remaining Lock-in period and the mandatory Notice Period without any protest or demur.
- The Fee payable by the Client shall not be deducted from the Security Deposit even though the same may be paid in lieu of advance by the Client. Refund or deduction of the Security Deposit shall be purely in accordance with the terms herein.
7. Purpose
- The Client shall use the Workspace only for the purpose of lawful business/corporate activities. Use of the Workspace for retail/showroom purposes i.e. as a point of sale involving frequent visits by non-members or general public or as a studio or as an interview centre is not permitted. The Workspace shall be used only for administrative/business purposes.
- Children below 14 years will not be allowed in the Co working space. No pets/animals will be allowed in the Workspace space. Admission of minors is subject to approval from AltF.
- The Client shall not carry on any similar business which competes with the business of AltF.
- The Client shall not be permitted to use the name of AltF in any way or in connection with the business of the Client. The Client shall not take, copy or use for any purpose the trademarks, service marks, logos, other identifiers or other intellectual property or modified or altered versions of the same, or take, copy or use for any purpose any pictures or illustrations of any portion of any AltF properties, without the prior consent of AltF. This restriction survives termination of the Agreement.
- The Client shall not enter into any agreement or settlement that requires any act or admission by AltF, or imposes any obligation on AltF without the prior written consent of AltF. AltF disclaims all liabilities arising from any such act of the Client.
- The Client shall not do, or permit to be done in the Co-working space any acts which is illegal and/or which may be considered immoral, unlawful, unsafe, hazardous or unethical. The Client shall not use the Workspace, or any part thereof, or any of the facilities provided by AltF, as storage space of any illegal/banned/immoral, perverse product/good.
- The Client shall not use the Workspace in such a way, or store in the Workspace or any part of the Workspace space, any goods of hazardous or combustible nature, which may be in violation of the applicable laws, and/or equipment or machinery which may affect the construction or the structure of the Workspace space or do or suffer anything to be done or around the Workspace space which tends to cause damage or deteriorate the value of the Workspace space.
- The Client shall not, during the term of the Agreement, and for a period of 3 (three) years following its termination, solicit or hire or employ, whether as employee, consultant, or in any other capacity, any person who has been employed, retained or hired by AltF at any time during the term of this Agreement. Even otherwise, the Client shall not display posters/ advertisements/notices publicizing employment opportunity with the Client, inside the Workspace space and/or the Workspace or any part thereof. Any breach of this provision shall entitle AltF to claim reasonable compensation and all direct losses and costs resulting from such breach.
8. Decorum
- All persons including the Client shall maintain decorum at the Co-working space. The Client undertakes not to do or cause to be done in or upon the Co-working space any act, matter or thing whatsoever, which may be or becomes nuisance or annoyance to the building owner or any other client of any adjoining or neighbouring premises, or which is in contravention of the local or municipal laws or which may need any interference by the police or local authorities. The Client also undertakes to comply with all laws, by-laws, statutes, rules and regulations, including any terms and conditions or rules imposed by any applicable authority as may be relevant for the Co-working space.
- The Client agrees not to make any excessive noise or carry out any such activity which disturbs the peace and quiet enjoyment of other clients in the Workspace space.
- The Client is responsible for the actions of and all damages caused by all persons that the Client invites to enter the Workspace space.
- AltF is not responsible for the actions of other individuals using the Co-working space. AltF does not endorse, support or verify the facts, opinions or recommendations of any of the users of the Co-working space.
- No consumption of alcohol is allowed within the Co-working space.
- The Client shall ensure that its employees, guests, or any third party associated or connected with the Client shall not indulge in any form of behaviour or activity amounting to harassment of any person at the Co-working space in any form, regardless of gender, religion, race, ethnicity, sexual orientation, disability or physical appearance. For the avoidance of doubt, it is specified that harassment includes but is not limited to the use of offensive verbal language, photography or recording without consent, sexual harassment including but not limited to making sexually coloured remarks and physical contact and advances. Upon the notice of any such incidence of harassment being given to AltF, AltF may require the Client to take action against the said individual. Without prejudice to the fact that AltF at no time, has any responsibility or liability for such act, AltF reserves its right to take relevant steps against the said individual or the Client, including but without being limited to, restricting the entry to the Workspace space, and suspension, or termination of the Agreement with such Client. Further, the Client undertakes to indemnify and save AltF from any loss or costs that AltF may be constrained to undergo as a result of any such act of harassment.
9. Property
- The Client shall not be entitled to erect or to get erected, any interior fittings, fixtures, wooden partitions, cabins inside the Workspace, or make any additions or alterations, without the prior permission of AltF. Such customization, if any, shall be done by AltF only upon client request, subject to payment of customization charges. AltF reserves the right to remove and dispose any unauthorised alterations without giving any notice, at the Client’s sole cost and risk.
- For any customization requirements that the Client may have for the Workspace, a one-time charge shall be levied by AltF which shall be payable upfront by the Client. Any customization work shall commence only after receipt of the one-time charge. It is further clarified that the Effective Date shall not depend on the completion of such customization work by the vendor.
- The Client may, if it so desires, bring any extra moveable furniture with the prior consent of AltF, and provided the same does not cause a hindrance in the movement of persons within the Workspace and the Workspace space. The Client shall not be permitted to remove or dismantle any furniture or goods belonging to AltF.
- The Client shall be permitted to install and use any additional appliance after prior approval from AltF. Such approval may be granted by AltF, in applicable cases, subject to payment of extra charges by the Client.
- AltF shall take care of the day-to-day maintenance and repairs pertaining to the Co-working space. It is the duty and responsibility of the Client to keep and maintain the Co-working space in good, clean and neat condition. The Client shall bear any expenses arising out of repairs and wear and tear rising due to any fault or negligence of the Client, its agents, invitees or guests.
- In case of any damage to the Co-working space, caused due to Client negligence, AltF shall get the premises restored to its original condition and shall recover such cost from the client. This restoration cost includes the cost of lost key(s), access card(s), paint touch up and other charges applicable to bring the room back to its original condition. The Client shall have the right to remove those movable assets belonging to them which can be removed without affecting the structure of the premises or the building and if any damage is caused, the Client shall be liable to pay for the cost of restoration of such damage, without any protest, and indemnify and hold harmless AltF with respect to any claims or damages. All the fixtures/furniture/equipment provided to the Client, in fit and working condition, at the time of use and occupation of the Workspace, shall be handed back to AltF in running condition at the time of vacating the Workspace.
- AltF shall not be responsible for any property of the Client that is left behind at the Co-working space. It is the responsibility of the Client to ensure that all personal items and belongings have been removed prior to leaving. Prior to the termination or early termination of the Agreement and/or vacating, the Client must remove all belongings of the Client from the Workspace space. AltF shall be entitled to dispose of any property remaining in the Workspace space, after providing a notice of 7 (seven) days. Any cost and liability incurred by AltF in the removal of such property shall be the responsibility of the Client.
- AltF bears no responsibility for any goods that may be stolen, destroyed or vandalized. For the benefit of the Client and other occupiers of the Co-working space, AltF has provision for internal CCTV cameras in the common areas of the workspaces of the Co-working space. Upon the occurrence of any act of theft, destruction, or vandalism of property, the Client shall inform AltF of the same, and AltF shall make the best efforts to assist the Client in this regard, including by way of provision of the CCTV footage. However, for the avoidance of doubt, it is clarified that AltF shall not be liable in any way, even in the event of inability to provide the relevant CCTV footage. It is further clarified that the Client shall not be permitted to monitor or seek access to live CCTV footage.
- The Client may be permitted to display its name/logo on the entry door of the Workspace or anywhere within the Workspace. Such display/frosting shall be done with the prior approval of AltF and by a vendor approved by AltF up to a maximum size of 20” x 10”, such charge payable by the Client as may be agreed. Such one-time charge shall be payable upfront and prior to the commencement of the work. No other form of display shall be allowed. The Client shall not be permitted to undertake any other form of advertising on the Workspace space.
- The Client shall not directly or indirectly take, copy or use any information or intellectual property belonging to other clients or client companies or any of their guests, including without limitation personal names, business names, trademarks, service marks, logos, other identifiers or other intellectual property, or modified or altered versions of the same.
10. Operating Hours
- The Client shall be liable to pay an extra charge of such amount per seat, per hour, for using the Co-working space beyond the operating hours of AltF as may be communicated by AltF from time to time.
- Entry of the Client to the Workspace space shall only be through the access card provided by AltF. The Client shall be responsible for loss and re-issue of the access card. The Client shall be responsible for any loss or damage due to unauthorized entry attributable to the Client in any manner.
- Access cards are issued on a per seat basis. Additional card(s), if required, shall attract a charge equal to 30% (thirty per cent) of the per seat monthly Fee per additional card, along with the penalty, if any.
- It is clarified for the avoidance of doubt, that the above-mentioned access cards are the property of AltF and therefore on termination of the Agreement, the access cards will have to be returned to AltF. On the failure to do so, AltF shall be free to initiate action against the Client, and/or deduct a charge of Rs. 1000/- (Rupees One Thousand only) per card, from the Security Deposit, at its sole discretion. The same penalty shall apply for re-issue of lost access cards.
- AltF shall remain closed on all national holidays, regional festivals, in addition to any local holidays that may be notified by AltF from time to time.
11. Services
- Depending on the agreement between the Parties, certain credit points may be provided to the Client, which may be used to avail certain services and facilities as offered by AltF, from time to time, and which may or may not form part of the Agreement and Terms of Use. Unused credit points will not be carried forward and will lapse at the calendar month-end.
- AltF shall not be liable for any software or hardware issues to any electronic equipment or systems that a client may face for no reasons attributable to AltF.
- Any additional requirements for data/voice, points/access control and similar IT services within the Workspace, will be subject to additional charges and after prior permission of AltF, subject to AltF’s discretion and technical feasibility at the Workspace. Such charges will be applicable for additional IT services in the Workspace only and separate charges will be payable for any customization in any other Workspace subsequently used and occupied by the Client.
- AltF shall not be obligated to disclose or share any data/information related to any IT services provided by AltF to its clients including but not limited to AltF’s internet connection, networks, access control, telecommunications systems or information processing systems.
- AltF takes no responsibility for any illness, injury, loss or death that may occur due to any beverage/water/food consumed by the Client at the Workspace space. The Client acknowledges and understands that all such consumables are provided by independent third-party vendors, and any complaints, claims, or disputes in this regard must be directed solely to the concerned vendor.
- AltF shall not be liable, directly or indirectly, to anyone for any expense, claim, damage or loss relating to performance or non-performance by third-party vendors or use of any third-party services. The Client shall engage solely with the third parties for provision of the applicable third-party services and for compensation for any claims, damages, liabilities or losses that the Client may incur in connection with such third-party services.
- The use of facilities such as printer and internet by any employee or authorized personnel of the Client shall at all times be considered as authorized usage of the printer and internet by the Client. The Client will be provided with a PIN to print the pages. Any pages printed using that pin would be considered as the prints taken by the Client.
12. Additional Services
- If the Client wishes to avail of additional services from AltF, but which are outside the package of services contracted by the Client, then such additional services shall be provided by AltF subject to payment of additional charges, which shall be levied by AltF.
- AltF shall be entitled to discontinue, modify or replace any additional service without notice where commercially or operationally necessary, without affecting accrued payment obligations.
13. Inspection and Cleaning
- During the Term, AltF, through its authorised agents and representatives, has the right to enter the Workspace for inspecting its state and condition, to make repairs or to show the Workspace to prospective clients. AltF or its representatives may also enter the Workspace without prior consent if it appears to have been abandoned by the Client, or in the case where there is an apparent violation of law, or in case of emergency, or as otherwise permitted by law or as and when deemed necessary by AltF.
- AltF or its agents, or employees, or contractors shall enter the Workspace for the purposes of cleaning without any prior consent of the Client.
- The Client shall be liable to pay extra charges for any additional cleaning that would be done by the housekeeping staff. The housekeeping staff will not be responsible for washing of any utensils/crockery/cutlery of the Client. The housekeeping staff engaged at the Co-working space will not be responsible for filling up water bottles of the Client or for serving tea/coffee to the Client.
- The Client shall not have the right to part with possession of the Workspace, assign any portion of the Workspace or create third party interest in any manner in respect of the Workspace.
- Any sharing of access, credentials, keys, access cards or Co-Working with an unauthorised third party shall constitute a material breach.
14. Meeting Room
- The Client may use credits, granted to the Client, for the meeting rooms in the Workspace space as per the charges specified, subject to availability of such meeting Rooms. The meeting rooms shall be available on a ‘first book–first serve’ basis.
- Use of meeting rooms in excess of any credits would be subject to the charges which may change from time to time.
- The use of a meeting room by any employee or authorized personnel of the Client shall at all times be considered as authorized usage of the meeting room by the Client.
- Once the meeting room is booked, no changes can be made. For any changes, the meeting room can only be cancelled and then re-booked. Cancellation charges may be applicable.
- AltF may impose additional charges on the Client if the meeting has exceeded the time limit so specified at the time of booking.
- If a client fails to appear for any booked meeting room, it shall be considered a “No Show” and no refund or rescheduling shall be available for such cases.
15. Common Area
- The Client shall be permitted to access the common area within the Workspace space. Such common area will be for temporary use and not for everyday continuous work. AltF may conduct events/meetings in the common area of the Workspace space. AltF may play music in the common area as per their own discretion.
- AltF reserves its right to display any form of advertising in the common area at its sole discretion and does not need the leave or permission of any client in this regard.
- The Client shall not claim exclusivity over any common area, branding location, facility or amenity.
16. Mail
- The Client shall be permitted to receive mail and packages at the Co-working space during the regular business hours and on regular business days. AltF will inform the Client on receiving any such mail or package. AltF shall be under no obligation to store such mail or packages for more than 7 (seven) days from receipt.
17. Cancellation and Termination
- In the event the Client cancels, withdraws, or fails to proceed with the membership after payment of the Security Deposit, advance rent, token or any other amount, AltF shall have the right to retain such amounts, in whole or in part, towards administrative costs, opportunity loss, inventory blocking, and related expenses, as AltF may deem fit, without prejudice to any other rights available to AltF.
- AltF shall have a right to terminate the access to the Workspace space or terminate any agreement executed with the Client by giving a 30 (thirty) days prior notice in writing.
- In case a Client wants to terminate its membership, the member company must give a Notice Period (“Notice Period”). The duration of the notice period shall be such as may be agreed between the parties by way of the client’s Agreement. Notice Period shall be applicable post completion of the lock-in period (if applicable). A notice period is mandatory and shall be accepted on the 1st of every month. Any notice, if received post the 1st Day of the month, shall be considered from the 1st Day of the next month.
- In the event of a material breach of the agreement or these Terms of Use by the Client, AltF shall be entitled to terminate the client’s membership without any prior notice to the Client. The Term shall be considered to have concluded from the date of the communication, unless the same has been revoked and recalled by AltF. In such cases, the Client shall be liable to pay the Fee for the Client’s Notice Period. However, if such termination occurs during the Client’s Lock-in period, the Client shall be liable to pay the Fee for the remaining Lock-in period along with the Notice Period.
- The Client shall make full and final payment of all outstanding sums and the applicable fee or part thereof, commensurate to the period that the Workspace was utilised by the Client since the date of last payment of the Fee until the date of termination. Any default or delay in such payment shall carry an interest of 2% (Two per cent) per month. AltF reserves the right to recover such dues from the Security Deposit.
- Prior to, and no later than the date of termination, the Client shall vacate the Workspace and in case the Client fails to do so, the Client shall be liable to pay damages equal to double the Fee, proportionate to the number of days that the Client has exceeded post the termination of the Agreement till the actual date of full and final vacation. Provided however that in the event the Client fails to fully vacate the Workspace even after 14 days after termination of the Agreement, AltF shall be at liberty to vacate the Workspace on behalf of the Client by restricting the entry of their personnel and goods in the co-working space. AltF shall, further, have the right to remove, from the Workspace, all belongings of the Client which AltF shall hold for not more than a period of 48 hours, which if not collected by the Client, shall be destroyed by AltF, at its sole discretion, at the risk and cost of the Client. The Client acknowledges and admits that payment of the above damages would not in any way create any rights of the Client on the said Workspace.
- In a situation of partial termination of the Agreement and/or membership during the Lock-in period as specified in the Agreement/Form, it is hereby stated that at any given point of time, only a maximum of 10 (ten) per cent of the seats may be vacated by the Client. Provided however, at any given point of time such 10 (ten) per cent vacation shall not result in rendering any one of the rooms booked by the Client as partially vacant.
18. Indemnity
- The Client shall indemnify and shall hold AltF harmless and without having to undergo any losses or costs, in relation to any suit, claim, action brought upon AltF by any third party or any actions that AltF may need to take including legal advice or representation, to remedy or address any situation, including any action/enquiry from any government instrumentality, or loss of goodwill or reputation on account of any actions/inactions on the part of the Client or otherwise attributable to the Client.
- The workspace, Co working space and services are provided on an “as is” and “as available” basis. Except as expressly stated in these Terms of Use, AltF makes no warranty, express or implied, including as to merchantability, fitness for a particular purpose, or uninterrupted or error-free operation of any service, and all such warranties are excluded to the maximum extent permitted by law.
- The liability and consequences for doing any wrongful or illegal act, in the Workspace or the premises by the Client, concerning any government authority, including but not limited to, GST, Income Tax, Customs, Electricity Board, Department of Labour, Municipal Corporation, Health and Pollution etc. shall rest solely with the Client exclusively and AltF shall not be liable and responsible in any manner whatsoever.
- The Client shall abide by the rules, regulations and guidelines of the relevant authorities applicable on the Co-working space and shall carry out and obey all the applicable orders and directions issued by the authorities from time to time.
- AltF does not make any representations as to the security of the LAN (or the internet) or of any information that is placed on it by the Client. The Client shall adopt all security measures it deems necessary to safeguard its information. Furthermore, the Client acknowledges that it has no expectation of privacy with respect to AltF’s internet connection, networks, telecommunications systems or information processing systems (including any stored computer files, email messages and voice messages), and the Client’s activity and any files or messages on or using any of those devices or systems may be monitored at any time without notice, including for security reasons and to ensure compliance with AltF’s policies, regardless of whether such activity occurs on equipment owned by the client or AltF.
- AltF is not liable for any loss as a result of failure to provide any service as a result of mechanical breakdown, strike, fire drill etc. For failure to provide any service, the Client must inform AltF in writing and give AltF reasonable time to correct the issue which shall not be less than 07 (Seven) days in any case.
- The Client agrees that AltF will not be held liable for any loss, expense, damage or claim which arises as a result of, or in connection with, the Agreement. The Client agrees that AltF shall not be held liable for any mishap/accident taking place at the Co-working space. AltF shall not be held liable for loss of business, loss of profits, loss of anticipated savings, loss of or damage to data, third party claims or any consequential loss.
- The Parties acknowledge and agree that the aggregate liability of AltF, if any, under all circumstances, shall be limited to the amount of one month’s fee or INR 50,000/-, whichever is lower.
19. Insurance
- The Client shall be solely responsible for getting insurance, and protecting the property owned by the Client which is brought into the Workspace space and the Workspace, including data and documents, and inter alia for liability towards its employees and towards third parties, potential business loss, damage expense or liability. AltF shall not be liable to procure any insurance coverage for the Client’s employees or goods.
20. Governing Law and Jurisdiction
- The Agreement and Terms of Use shall be governed by, and construed in accordance with, laws of India. The Courts at New Delhi shall have the exclusive jurisdiction to entertain any dispute arising out of or in any manner concerning the agreement or membership of the Client and Terms of Use.
21. Notices
- Any notice required to be given by the Client to AltF, shall be by way of e-mail at the addresses specified in the Agreement or at accounts@altfspaces.com, legal@altfspaces.com. It is clarified that no verbal communication shall constitute valid notice. For notice to be given by AltF to the Client, all notices served through email, courier, speed-post and WhatsApp shall be deemed valid. In case of change of address, email and phone number of the Client, the same shall be intimated immediately by the Client to AltF in writing.
22. Non-Payment and Reallocation Clause
- In the event that the Client has failed to pay the Fee for a period exceeding 30 (thirty) days, and/or ceased to use or visit the Workspace space, and subsequently expresses the desire to continue their membership, AltF reserves the right to allocate to the Client any available cabin or space, which may be of a similar or different size, as compared to their originally allotted cabin. AltF shall be under no obligation to allocate the original cabin to the Client in such situation.
- The Client acknowledges and agrees that such reallocation may result in changes to the configuration, size, or location of the allocated space, and that any continuation of the membership shall be subject to payment of all outstanding dues, along with any applicable charges or adjustments as determined by AltF.
23. Data Protection
AltF may collect, use, process and store personal data of the Client, Members and visitors for KYC, security, service delivery, billing and compliance purposes, in accordance with the Digital Personal Data Protection Act, 2023 and the rules made thereunder and AltF’s Privacy Policy. The Client shall ensure all necessary consents and authorisations are obtained for sharing such personal data with AltF.
24. Intellectual Property
- AltF is the sole and exclusive owner of the mark “alt.f coworking”, all associated logos, décor, colour schemes, interior designs, and the proprietary systems, methods, software, training materials and operating processes used in its business (“AltF IP”). Nothing in these Terms of Use or the Agreement transfers any right, title or interest in the AltF IP to the Client, and the Client is granted only a limited, non-exclusive, non-transferable, revocable access to the Workspace and Services during the Term.
25. Confidentiality
The Client shall maintain confidentiality of all non-public information relating to AltF, its affiliates, operations, pricing, systems, technology, clients, vendors, business processes, security arrangements and other proprietary information accessed by the Client.
26. Miscellaneous
- These Terms of Use (as may be amended from time to time) consist of the terms and conditions which form a part of the Client’s Agreement.
- The Client understands that Services including but not limited to printing, internet usage, and complimentary beverages such as coffee and tea — are provided under a ‘Fair Use’ Policy. Clients shall use these resources responsibly and in moderation. Excessive or abusive consumption or wastage may result in limitations or additional charges. AltF reserves the right to monitor usage and take appropriate action to maintain fair access for all clients.
- Nothing in the Terms of Use and/or Agreement shall be deemed to create an interest (charge and hypothecation) over fit-outs and furniture or grant a right to lease/license/sublease/ sublicense over any part of the Co-working space and/or the Workspace and/or the premises, and the Client agrees and warrants that no such contention shall be taken up by the Client at any time.
- The Client shall not assign, novate or otherwise transfer any of its rights or obligations under the Agreement, or these Terms of Use to any third party without AltF’s prior written consent.
- If any part of the Terms of Use and/or Agreement is held to be illegal or unenforceable neither the validity nor enforceability of the remainder of the Terms of Use and/or Agreement shall be affected.
- AltF shall not be liable for failure to perform or delay in performing any obligation under the Terms of Use and/or Agreement if the failure or delay is caused by any circumstances beyond its reasonable control, including but not limited to acts of God, war, civil commotion or strike, etc.
- Endorsements and Testimonials: AltF may from time to time, publish testimonials by clients related to their experiences with the Services. These testimonials are the clients’ subjective opinions, and they represent individual results. AltF neither verifies them nor claims that they are typical results that others will generally achieve. Names, locations, dates and other information may have been changed to protect the privacy of the individuals involved. All other testimonials and endorsements of any type, format or nature posted by users are not verified by AltF, and AltF makes no warranty or representation as to their accuracy. The Client should be cautious when relying on any testimonials or endorsements, and should assume the results described therein are not typical or standard.
- The failure of either party to enforce its rights under the Terms of Use and/or Agreement at any time for any period shall not be construed as a waiver of such rights.
- AltF shall not be liable for any error made in good faith or any act or omission beyond the scope of their engagement or employment by any officer or employee of AltF. Client shall not hold AltF liable for any loss faced by you on account of any act of an employee or officer of AltF which is not authorised by AltF.
- AltF shall have no obligation or responsibility to mediate or participate or indemnify any party in a dispute between clients of AltF or between clients of AltF and any third party. If AltF deems it fit to mediate any issue between the clients of AltF at the Co-working space then the decision of AltF shall be final and binding on the parties thereto.
- In case of any conflicts between these Terms of Use and the client’s Agreement, if any, the provisions of the Agreement shall prevail to the extent of the conflict.
- The Client acknowledges that electronic acceptance, click-wrap acceptance, email confirmation, online booking and other electronic records may constitute evidence of acceptance and formation of the contractual relationship, subject to execution of the Agreement and applicable law.
- In the event where a Client has not entered into a written agreement with AltF, the Terms of Use contained herein shall solely govern the membership of such Client. These Terms of Use also form a part and parcel of the Client’s Agreement, executed between the Client and AltF. Capitalized terms used in this Terms of Use shall have the same meaning as ascribed to them in the Agreement, unless specifically defined herein.
- The Client shall ensure that they keep themselves updated with any changes made to the Terms of Use, by visiting the website https://altfcoworking.com/terms-of-use/ on a regular basis. AltF reserves the right to modify at its sole discretion, these Terms of Use without the requirement of providing notice of the same to the Client. The Client agrees to be bound by such Terms of Use and shall remain in compliance with the same at all times.
AltF – House Rules & Visitor Policy
To ensure a positive experience for everyone, including members, staff, and visitors, we’ve outlined the following rules:
- 1. General Etiquette
- Be courteous to all individuals using the space.
- Keep noise to a minimum, especially in shared and open desk areas. Use headphones for calls or media.
- Respect the personal space and property of others.
- Dress appropriately for a professional setting.
- 2. Visitor & Walk-In Policy
- Permitted Visitors:
- Individuals or Business Partners attending a scheduled tour.
- Walk-ins exploring membership options when accompanied by Alt F personnel.
- Guests accompanying current members.
- Visitor Guidelines:
- All visitors must check in at reception upon arrival.
- Government-issued ID may be required for security purposes.
- Walk-ins without an appointment are welcome but may need to wait.
- Visitors are not permitted to use workspace desks unless invited by a staff member.
- Use of Wi-Fi, meeting rooms, or phone booths is not included unless pre-approved.
- Not Allowed:
- Unattended or repeated visits without invitation.
- Loitering in lounges or common areas without permission.
- Taking photos or videos without prior consent.
- Bringing hazardous, illegal, prohibited or unauthorised materials into the Co working space.
- Using another person’s access card, credentials or identity to obtain access.
- Permitted Visitors:
- 3. Tours & Exploratory Visits
- Prospective clients are encouraged to schedule a tour in advance via our website or with the Front Desk.
- Tours are typically 15–20 minutes and guided by our staff members.
- During the tour, please avoid disrupting people who are working.
- AltF may restrict or discontinue a tour at any time for security, confidentiality, operational or safety reasons.
- 4. Meeting Guests (For Members)
- Members must notify reception in advance if expecting guests.
- Members are responsible for guest behaviour and any damages.
- Guests are permitted in common areas or meeting rooms (if booked) but may not work at shared desks.
- Visitors can use the team room for meetings at no cost. However, no extra furniture will be provided for them.
- AltF may require any visitor to leave the premises immediately where such person’s conduct is unsafe, disruptive, unlawful or otherwise objectionable.
- 5. Safety & Security
- For everyone’s safety, CCTV is in operation in common areas.
- Visitors must comply with emergency procedures if announced.
- Please do not tamper with fire equipment or emergency exits.
- No person shall obstruct emergency exits, fire-fighting equipment, evacuation routes, security equipment or building safety systems.
- 6. Privacy & Photography
- No recording, filming, or photographing members or staff without permission.
- Visitors shall not access private or restricted areas.
- Any material gathered during a visit shall not be used publicly (e.g., social media, reviews) without prior approval.
- The Client shall not photograph, record or reproduce confidential information, screens, documents, conversations, access-control systems or other proprietary information belonging to AltF or another Client.
- 7. Zero Tolerance Policy
- We have zero tolerance for:
- Harassment, discrimination, or offensive language.
- Soliciting, selling, or promoting services unless authorized.
- Damage to property or misuse of amenities.
- Violence, threats, intimidation, stalking, sexual harassment, unlawful recording, fraud, theft, possession of prohibited substances or materials, or any conduct creating a safety, legal, regulatory or reputational risk.
- Violators will be asked to leave immediately and may be denied future access.
- 8. Liability Disclaimer
- Alt F is not liable for any personal items lost or damaged while on the premises.
- Visitors enter at their own risk and must adhere to all safety instructions provided by staff.
- 9. General
- Eating inside Cabins and Meeting Rooms is strictly not allowed, please eat only in the designated cafeteria to keep things clean. You are responsible for serving yourself in the cafeteria. Please clean up after yourself and keep the cafeteria tidy. Use cafeteria utensils only in the designated common areas. Please do not take them to your cabins.
- Members can store their lunch, cakes, etc., in the common fridge at their own risk. Alt F doesn’t take any responsibility or guarantee for what’s stored inside.
- For safety and to maintain clean air, smoking is strictly not allowed in all areas, including fire exits and staircases. Please avoid spitting tobacco anywhere on the premises and within the building.
- Please keep within the 10 GB data limit per user to ensure fair usage and smooth operations for everyone.
- Please carry your access card at all times while on the premises for security and access control.
- To make sure everyone is comfortable, please do not bring pets into the coworking space. Children are not allowed in the coworking space.
- The air conditioning is set to keep everyone comfortable while working. Please don’t change the AC settings without permission.
- Please maintain cleanliness and hygiene in all washrooms. Report any maintenance issues promptly to facility management.
- Drinking alcohol is not allowed at the Workspace.
